These t+ terms and conditions (“Terms”) govern your use of the t+ Services (as defined below), and are entered into by you and Integrated Marketplace SAL, a Lebanese joint stock company duly registered at the commercial register of Beirut under the number /1022209/ (“Toters”).

By subscribing to a t+ Subscription (as defined below), you confirm your agreement to be bound by these Terms.

All capitalized terms used herein and not defined shall bear the meaning ascribed to them in the Terms and Conditions of the Toters App available here “https://www.totersapp.com/terms-conditions” (“App Terms and Conditions”). These Terms form an integral part of the App Terms and Conditions.  

1. t+ Subscription

t+ is a User subscription (“t+ Subscription”) offered to eligible users (the “Eligible Users”). It allows those Eligible Users to subscribe to obtain certain benefits, offers and promotions on Eligible Orders (as defined in section 2 below) (the “t+ Benefits”), as further described in section 2 below.

Occasionally we may make changes to t+ Subscription including the t+ Benefits available to you and/or these Terms. We will endeavor to communicate any material changes to you prior to being implemented via email or by displaying a prominent notice on Toters App (“Change Communication”). We will take your continued use of t+ Subscription following receipt of our Change Communication as acceptance of the relevant change. We recommend reading all Change Communications that we send you carefully.

If you do not want to continue with your t+ Subscription following receipt of a Change Communication you may cancel your t+ Subscription with immediate effect (see below).

2. Eligible Users, Eligible Orders and Participating Merchants

Eligible Users

t+ Subscription, including any Free Trial Period (as defined in section 4 below), may not be available to all Users. We will explain which services are available to you when you subscribe.

To qualify as an Eligible User, you must meet the following criteria when you subscribe to the t+ Subscription and at all times during your t+ Subscription:

̶            subscribe to the t+ Subscription through your Toters Account; and

̶            comply with any other criteria communicated to you at the time of joining the t+ Subscription. 

If it has been determined by Toters that you do not comply with the above criteria, but you believe that you do, you should contact us by emailing support@totersapp.com.

You may only use your t+ Subscription primarily within the country and the zone (as described by Toters upon your subscription to the t+ Subscription) in which you established your t+ Subscription.

Eligible Orders

Eligible Users will receive the t+ Benefits on all Eligible Orders. “Eligible Orders” are all orders that are placed with a Merchant and meet the specified minimum order value. The minimum order value will be communicated to you at the time of subscribing and when placing orders through the Toters App. Minimum order values may vary from time to time and may differ between our Merchants.

Participating Merchants

t+ Subscription is only available for Participating Merchants. “Participating Merchants” are determined in Toters’ sole discretion, and may be changed by Toters at any time.

Fraudulent Activity

You must limit your t+ Subscription to your personal use, and not share your t+ Subscription details with any third party at any time during your t+ Subscription. If we have reasonable grounds to suspect that you are not using your t+ Subscription in accordance with these Terms, Toters may (in its sole discretion) immediately suspend or terminate your t+ Subscription (along with any other steps Toters is entitled to take in accordance with the App Terms and Conditions).

3. How to Subscribe

If you are an Eligible User, you can subscribe to the t+ Subscription through the Toters App by:

̶            checking the checkbox on the cart page in your Toters Account, following which the t+ Subscription will be added to your order;

̶            logging online under the “My Account” section of your Toters Account;

̶            tapping the promotion prompt to receive details (including pricing details) about t+ Subscription; and

̶            following the link from the t+ Subscription landing page.

4. t+ Fees

Eligible Users can subscribe to the t+ Subscription for a fee which will be communicated at the time of subscribing (“t+ Fee”). The t+ Fee may vary from User to User depending on certain conditions set by Toters (e.g. the area in which the User is located).

If you have been offered a Free Trial Period (as defined in section 10), you will not be charged the applicable t+ Fee for the duration of the Free Trial Period. After the Free Trial Period ends, you will be charged the t+ Fee at the relevant intervals for the remainder of your t+ Subscription Period (as defined in section 5 below) in accordance with the terms and conditions set out in the “Payment and Billing” section below.

You acknowledge and agree that Toters may vary the t+ Fee during your t+ Subscription Period. Any increase to your t+ Fee will be notified to you as described in section 6 below.

5. t+ Subscription Period

Your period during which your t+ Subscription will be in force (“t+ Subscription Period”) will be communicated and chosen by you at the time of subscribing.

You will receive an in-app notification prior to the end of the then current t+ Subscription Period notifying you that your subscription will be automatically renewed for an additional t+ Subscription Period. Subscriptions will automatically renew at the end of each t+ Subscription Period until your t+ Subscription is cancelled (by you) or terminated (by us) in accordance with these Terms. Your first t+ Subscription Period will start on the day you subscribe, or, if you are offered, and are eligible for, a Free Trial Period, the day immediately following the date on which your Free Trial Period expires (“Start Date”).

6. Payment and Billing

̶            Payment Method: Payment for t+ Subscription must be made by cash to the Courier (or by credit or debit card saved on your profile through your Toters Account, when enabled by Toters) (“Payment Method”). If you have multiple payment methods on your Toters Account, when you subscribe, you will be notified as to which Payment Method will be charged with the applicable t+ Fee.

̶            Editing/Changing Payment Method: You may edit/change your Payment Method by logging into your Toters Account and selecting “My Account” and then “t+”. You cannot delete a Payment Method associated with your t+ Subscription, unless you replace it with another Payment Method. To do this, you must first add a new Payment Method to your Toters Account and then replace the existing Payment Method associated with your t+ Subscription with the new Payment Method. Alternatively, you can cancel your t+ Subscription in accordance with section 9 below, and following such cancellation, you will be able to delete your Payment Method.

̶            Failed Payment: If payment of the applicable t+ Fee is not successfully settled, due to insufficient funds or otherwise, and you do not edit the Payment Method information directly, Toters will cancel your t+ Subscription effective immediately and you will no longer receive the t+ Benefits. You will remain responsible for any uncollected amounts. If we cannot charge you, we reserve the right, but are not obligated, to terminate your access to our Toters App.

̶            Recurring Billing: By starting t+ Subscription, an in-app notification regarding the recurring t+ Fee to be paid or withdrawn from your card (if applicable) will be notifying you within 24 hours of the first day of each t+ Subscription Period, provided that you will not be charged any amounts for the provision of the t+ Benefits during any Free Trial Period. You acknowledge that any t+ Fee billed to you may be varied by Toters.

̶            Billing of your First t+ Fee:  Your first t+ Fee will be charged on the Start Date.

̶            Refunds: t+ Fees are non-refundable.

̶            Price Changes: We reserve the right to adjust the t+ Fees at any time in accordance with section 4 above. Any price changes to your t+ Subscription will take effect on your next t+ Subscription Period. We will notify you of any change in price via a Change Communication. Subject to applicable law, if following a Change Communication, you continue to use your t+ Subscription after the price change has taken effect, you will be deemed to have accepted the new price.  If you do not accept the new price, you must cancel your t+ Subscription before the price change is implemented.

7. Managing Your t+ Subscription

All information relating to your t+ Subscription will be displayed in the “My Account” section of your profile under “t+”. From here, you will be able to view the remaining time on your Free Trial Period, your t+ Subscription, cancel your t+ Subscription and update your Payment Method.

8. Cancellation

̶            Cancellation of t+ Subscription: You may terminate your t+ Subscription at any time. Following cancellation, you will continue to receive the t+ Benefits for the duration of your current t+ Subscription Period. If you cancel a free trial, you will also continue to receive the t+ Benefits for the duration of your Free Trial Period.

̶            Exercising Your Right to Cancel: To exercise the right to cancel under this section, you may either use the option within “My Account” area of your profile or you must inform our us by email (at support@totersapp.com) of your decision to cancel your t+ Subscription by clear statement.

̶            Reimbursement: If you cancel your t+ Subscription, we will not reimburse you for any payment you have made up until the date of cancellation.

9. Termination or Modification

You agree that Toters, in its sole discretion, may terminate, deactivate and/or suspend any account (or part thereof) you may have with us or use of the Toters Services and remove and discard all or part of your account and/or discontinue, modify or alter any aspect, feature or policy of the Toters Services or t+ Subscription.

10. Free / Limited Time Trial Offers

̶            Trial Offer Availability: From time to time, we may offer a no payment, fixed period, trial of our t+ Subscription (“Free Trial Period”) to some Eligible Users. The Terms shall apply for each trial offer. The Free Trial Period is intended to allow new Users and certain former Users to try the t+ Subscription.

̶            Eligibility: Eligibility for a Free Trial Period is determined by Toters at its sole discretion. To prevent fraudulent activity and abuse of the Free Trial Period, we may limit eligibility or duration. We reserve the right to revoke the Free Trial Period and put a hold on your account in the event that we determine that you are not eligible or in the event we suspect a fraudulent activity or abuse on your Toters Account.

̶            End of Free Trial Period: At the end of the Free Trial Period, you shall be required to pay the t+ Fees. If you do not want to automatically pay the t+ Fee you must cancel your subscription in accordance with section 8 above. You can cancel the trial offer by logging into your Toters Account or by contacting us by emailing support@totersapp.com.

̶            Each Eligible User will only be entitled to one Free Trial Period. If you cancel your t+ Subscription at any time in the future, any future subscription that uses the same Toters Account, phone number, or credit card associated with your first t+ Subscription will not be entitled to receive an additional Free Trial Period.

̶            We reserve the right, in our absolute discretion, to withdraw or to modify our free trial offer at any time without prior notice and without liability, to the greatest extent permitted under law.

11. Plus Vouchers

From time to time, Toters may issue t+ Subscription vouchers for free as part of a promotion or offer: 

̶            These vouchers may allow you access to t+ Subscription for a Free Trial Period, the duration of which will be communicated to you in the voucher.  

̶            After the Free Trial Period expires, t+ Subscriptions redeemed using a voucher will automatically be moved onto t+ Subscription current pay monthly subscription, and the relevant subscription fee will be payable by you. You will need to cancel your subscription prior to the end of the Free Trial Period to avoid charges.

̶            Your use of t+ Subscriptions during any Free Trial Period will be subject to these Terms.
